1. Acceptance of Service & Organizational Bounds
Welcome to ChillLedger, a cold chain safety logging and compliance trust engine owned and operated bySystemores LLC. By installing our mobile client software, accessing our public location transparency dashboards, or using our embeddable web trust widgets, you explicitly agree to comply with and be bound by these operational Terms of Use.
If you do not agree to these terms, or if you lack corporate authorization to bind your food service organization to these regulatory parameters, you must cease all access to ChillLedger immediately.
2. Immutable Records & Tamper-Proof Disclosures
ChillLedger operates as a cryptographic ledger for official health inspection audits. By entering and saving any temperature readings, status codes, or coordinates in this system, you explicitly acknowledge and agree to the following architectural parameters:
Typographical adjustments must be recorded as distinct, new "Correction Entries" referencing the incorrect log's UUID. This maintains a completely transparent, linear audit trail required to satisfy regulatory and food safety compliance.
3. Audit Passes & Monthly Subscription Licensing
ChillLedger offers distinct service levels structured to merchant scales:
- Local Sandbox (Free): Saves logs inside local hardware SQLite storage. History older than 7 days is obfuscated behind an inspector lock screen.
- Emergency Audit PDF Pass ($99.00): A one-time credit card payment processed securely via Stripe. Grants immediate, 24-hour access to compile and download the complete 90-day cryptographically-signed PDF ledger for a single surprise health inspection event.
- Proactive Cold Chain Subscription ($19.00/mo per location): Unlocks continuous, automatic SQLite-to-Supabase cloud sync, unlimited coordinating thermometers, and unlimited free PDF downloads.
All financial processes are managed securely by Stripe under Level 1 PCI-DSS guidelines. We do not refund Emergency Audit Pass purchases once a signed PDF ledger has been compiled and downloaded.
4. Kitchen Geofencing & Fraud Prevention
To ensure compliance validity, ChillLedger coordinates background GPS telemetry to verify that the kitchen crew member submitting logs is physically present inside the registered coordinates of the commercial food establishment.
You agree not to bypass, spoof, or manually override geofencing verification mechanisms (e.g. using virtual coordinates or location-hiding proxies). Deliberate geofence spoofing constitutes a direct breach of these Terms of Use and will result in immediate, irreversible termination of your compliance portal license.
5. Predictive Exception & Spoilage Warnings Disclaimer
The ChillLedger warning system utilizes background exception algorithms to alert store managers via SMS/Email webhooks if consecutive thermal violations occur (e.g. freezer cooling failures).
6. Limitation of Liability & Spoilage Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYSTEMORES LLC OR ITS AFFILIATED ENGINEERS BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF CLIENT OPERATING SPIKES, INVENTORY SPOILAGE, INGREDIENT LOSS, RESTAURANT CLOSURES, HEALTH INSPECTION SUSPENSIONS, OR CODE CITATION FINES.
Ultimate responsibility for food safety, ingredient temperature compliance, and mechanical refrigeration equipment health remains solely and exclusively with the merchant. Our maximum combined financial liability under any contract, tort, or warranty claims is strictly limited to the cumulative monthly service fees paid by your organization to ChillLedger in the twelve (12) months preceding the exception event.
7. Governing Law & Dispute Resolutions
These Terms of Use and any operating disputes arising between your organization and Systemores LLC shall be governed by, interpreted under, and enforced in accordance with the laws of the State of Delaware, without regard to conflicts of law rules.
Any legal actions, arbitration proceedings, or regulatory disputes must be filed exclusively in the state or federal courts located in Wilmington, Delaware, and both parties explicitly consent to personal jurisdiction in those venues.
